Acceptance
These Online and Mobile Banking Disclosures and Agreements ("Disclosures and Agreements") govern your use of ORNL Federal Credit Union’s Online and Mobile Banking services (“Digital Banking”). By subscribing to or using Digital Banking,
you agree to the terms, conditions, and agreements included in these Disclosures and Agreements in addition to all of the terms of your Universal Account Agreement.
If at any time the Digital Banking password is obtained by an unauthorized person you must log in and change your Digital Banking password immediately and contact the Credit Union.
ORNL Federal Credit Union may terminate or restrict Digital Banking transactions at any time without prior notice.
When using Online Banking I understand that the transactions are being completed via the Internet. ORNL Federal Credit Union offers several layers of technology, including Multifactor Authentication, to ensure that transactions made by Online Banking remain confidential. It is essential that security does begin with the browser being used on your own computer. It is highly recommended that you use the latest version of your browser. When you are finished using Online Banking you should exit the browser when leaving the computer to ensure no one else views your online account information.
In order to help protect your account information from unauthorized access, you should always log out of the system when each session is complete. Logging-out will help prevent unauthorized persons from using the service and viewing your account(s).
Digital Banking utilizes Multifactor Authentication for enhanced security. You will be asked to verify your identity to complete certain actions including but not limited to logging in, completing transactions, or making changes to your profile. Verification
codes will be sent by text, phone call, or email. It is your responsibility to ensure that your contact information is complete and current. For more information about Multifactor Authentication you may visit ffiec.gov.
Mobile Banking
Mobile Banking may not be accessible over some network carriers. In addition, the Mobile Banking Service may not be supportable for all Devices. ORNL FCU cannot guarantee and is not responsible for the availability of data services provided by your mobile carrier, such as (but not limited to) data outages or "out of range" issues. You agree to accept responsibility for learning how to use Mobile Banking in accordance with the instructions and agree that you will contact us directly if you have any problems with Mobile Banking.
You agree that, when you use Mobile Banking, you remain subject to the terms and conditions of your existing agreements with any unaffiliated service providers, including, but not limited to, your mobile service provider and that this Agreement does not amend or supersede any of those agreements. You understand that those agreements may include fees, limitations and restrictions which might impact your use of Mobile Banking (such as data usage or text messaging charges imposed on you by your mobile service provider for uses of or interaction with Mobile Banking). You agree to be solely responsible for all such fees, limitations, and restrictions. You agree that only your mobile service provider is responsible for its products and services. Accordingly, you agree to resolve any problems with your provider directly without involving us.
You represent that you are an authorized user of the Mobile Device you will use to access Mobile Banking. You understand that you are solely responsible to verify that items deposited using the Mobile Deposit Capture have been received by us.
We make no representations that Mobile Banking will be available for use in locations outside of the United States.
Electronic Signature
You agree and consent the use of a keypad, mouse or other device to select an item, button, icon or similar act/action while using any electronic service we offer; or in accessing or making any transactions regarding any agreement, acknowledgement,
consent, terms, disclosures or conditions, constitutes your signature, acceptance, and agreement as if actually signed by you in writing. Further, you agree no certification authority or other third party verification is necessary to the validity
of your electronic signature; and the lack of such certification or third party verification will not in any way affect the enforceability of your signature or the resulting contract between you and ORNL Federal Credit Union. Any user
e-signed document shall be deemed to be an original document when printed and used in the normal course of business.
Consent to Electronic Delivery
Electronic Records: We may provide an electronic document delivery service within Digital Banking. If you choose to subscribe to or use this service, you understand and agree to the following terms
and conditions and authorize the Credit Union to provide to you in electronic format, by email, website posting, or through Digital Banking interaction, the following communications (collectively referred to herein as “Communications”).
Your consent to receive electronic communications and transactions includes, but is not limited to:
• All legal and regulatory disclosures and communications associated with the account or the product or service available through Online or Mobile Banking for your account.
• Notices or disclosures about a change in the terms of your account or associated payment feature and responses to claims.
• Privacy policies and notices.
• Monthly account statements for your account(s) or other such communications that we may include from time to time as part of your enrollment in the e-statements program.
Withdrawal of Consent: If you wish to withdraw your consent, you may do so at any time. Withdrawal of your consent will immediately terminate the delivery of future Communications to you in electronic form and may prevent access to previous electronic communications within Digital Banking. To withdraw your consent, contact the Credit Union by phone at 865.688.9555 or 800.676.5328 , visit any of our branch locations, or write to ORNL Federal Credit Union, P.O. Box 365, Oak Ridge, TN 37831-0365 . Fees may apply as described in the Credit Union’s Fee Schedule.
Paper Copies: You may request a paper copy of any document sent to you electronically. You may request a copy by contacting ORNL Federal Credit Union at 865.688.9555 or toll free 800.676.5328 , by visiting any of our branch locations, or by writing to ORNL Federal Credit Union, P.O. Box 365, Oak Ridge, TN 37831-0365 . Fees may apply for paper copies of transactions or periodic account statements in accordance with our fee schedule. See our Fee Schedule for details.
Hardware and Software Requirements:
To use the Digital Banking service, you will need an operating system and Internet connection capable of receiving, accessing, displaying, and either printing or storing Communications received from us in electronic form.
• For a secure system we recommend using an Internet browser with at least an encryption level of 128-bit;
• Sufficient free disk space on a hard drive to retain documents;
• A modem or other device allowing connection to the Internet;
• An Internet browser that can support the service;
• An established email account and address and the ability to access attachments to email;
• An up-to-date version of Adobe® Acrobat® Reader or an Adobe Acrobat Reader browser plug-in. If you do not have this software, you can download a free up-to-date version at www.adobe.com and
• Modification of browser security for items such as “cookies” may be required.
You are responsible for the installation, maintenance, and operation of your computer or mobile device, modem and software. We are not responsible for any errors or failures involving any telephone or Internet service, software installation, or malfunctions of any kind of or to your computer, mobile device or related equipment.
Updating Your Records: It is your responsibility to provide us with an accurate and complete email address and contact information. Should this information change, it is your responsibility to maintain and update any changes promptly. You can update your email address within Digital Banking. You may also contact the Credit Union by phone at 865.688.9555 or 800.676.5328 or visit any of our branch locations. If you fail to update or change an incorrect email address or other contact information, you understand and agree that any Communications shall nevertheless be deemed to have been provided to you if they were made available to you in electronic form on our website or within Digital Banking.
Please Note: Do not send personal information via email. It is not a secure means to update your information.
Termination/Changes: We reserve the right, in our sole discretion, to discontinue the provision of this agreement, or to terminate or change the terms and conditions on which we provide electronic communications. We will provide you with notice of any such termination or change as required by law.
Unavailability of Services
You understand and agree that Digital Banking Services may at times be temporarily unavailable due to system maintenance or technical difficulties. In the event any of the services are unavailable, you acknowledge that you can complete transactions
through alternate means.
Governance
This agreement shall be governed by and interpreted under the laws of the state of Tennessee and applicable federal laws and regulations.
Indemnification
Unless caused by our intentional misconduct or gross negligence, you agree to indemnify, defend and hold harmless ORNL FCU its officers, directors, employees, consultants, agents, service providers, and licensors from any and all third party claims,
liability, damages, expenses and costs caused or arising from (1) a third party claim, dispute, action, or allegation of infringement, misuse, or misappropriation based on information, data, files, or otherwise in connection with the Digital
Banking Service; (2) your violation of any law or rights of a third party; or (3) your use, or use by a third party of Digital Banking.

La Banca Móvil

responsabilidad de aprender a utilizar la Banca Móvil de acuerdo con las instrucciones y acepta que se comunicará con nosotros directamente si tiene algún problema con la Banca Móvil.
Usted acepta que, cuando utiliza la Banca Móvil, permanece sujeto a los términos y condiciones de sus acuerdos existentes con cualquier proveedor de servicios no afiliado, incluido, entre otros, su proveedor de servicios móviles, y que este Acuerdo no modifica ni reemplaza ninguno de esos acuerdos. No garantizamos que la Banca Móvil esté disponible para su uso en ubicaciones fuera de los Estados Unidos.
Firma Electronica
Usted acepta y consiente el uso de un teclado, mouse u otro dispositivo para seleccionar un elemento, botón, ícono o acto/acción similar mientras utiliza cualquier servicio electrónico
que ofrecemos; o al acceder o realizar transacciones relacionadas con cualquier acuerdo, reconocimiento, consentimiento, términos, divulgaciones o condiciones, constituye su firma, aceptación y acuerdo como si realmente lo
hubiera firmado por escrito. Además, usted acepta que no es necesaria ninguna verificación por parte de una autoridad certificadora u otro tercero para la validez de su firma electrónica; y la falta de dicha certificación
o verificación de terceros no afectará de ninguna manera la aplicabilidad de su firma o el contrato resultante entre usted y ORNL Federal Credit Union. Cualquier documento firmado electrónicamente por el usuario se
considerará un documento original cuando se imprima y se utilice en el curso normal del negocio.
Consentimiento para Entrega Electrónica

Gobernanza
Este acuerdo se regirá e interpretará según las leyes del estado de Tennessee y las leyes y regulaciones federales aplicables.
Indemnización
A menos que sea causado por nuestra mala conducta intencional o negligencia grave, usted acepta indemnizar, defender y eximir de responsabilidad a ORNL FCU, sus funcionarios, directores,
empleados, consultores, agentes, proveedores de servicios y licenciantes de todos y cada uno de los reclamos, responsabilidades, daños y gastos de terceros. y costos causados o que surjan de (1) un reclamo, disputa,

(2) su violación de cualquier ley o derecho de un tercero; o (3) su uso, o el uso por parte de un tercero, de la Banca Digital.

BY ACCESSING THIS SITE OR ACCESSING OR USING ANY DIGITAL BANKING SERVICES (AS DEFINED BELOW) YOU AGREE TO BE BOUND BY THIS AGREEMENT, AS FURTHER DESCRIBED BELOW. THIS AGREEMENT IS SUBJECT TO CHANGE AT ANY TIME WITHOUT PRIOR NOTICE, IN THE SOLE DISCRETION OF ORNL FEDERAL CREDIT UNION, AND ANY CHANGES WILL BE INCORPORATED INTO THIS AGREEMENT AS PROVIDED IN THE “AGREEMENT” SECTION BELOW. IF YOU DO NOT ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU ARE NOT PERMITTED TO ACCESS OR USE THIS SITE OR ANY DIGITAL BANKING SERVICES.
You are solely responsible for the maintenance and operation of any computer or mobile device used by any business user to access the Service. ORNL Federal Credit Union shall not be responsible for any errors, deletions, or failures that occur as a result of any malfunction of your computer or mobile device, nor will we be responsible for any computer virus or malware that affects your computer or mobile device. You acknowledge and agree that any person using ORNL Federal Credit Union’s Business Online and Mobile Banking Service(s) must be at least eighteen (18) years of age. Persons under 18 are prohibited from accessing or using Business Online and Mobile Banking Service(s). By using Business Online and Mobile Banking Service(s) you acknowledge you are at least 18 years of age. General Terms Applicable to All Users This Business Online and Mobile Banking Service Agreement (the “Agreement”), as amended from time to time, is the contract which governs your use and our rights and responsibilities concerning the Business Online and Mobile Banking Service(s) (collectively, the “Service(s)”, “Mobile Banking”, or “Digital Banking”) offered to you by ORNL Federal Credit Union and any applicable software products and associated documentation we may provide through those websites and mobile applications, or to use the products, services or functionality offered through those websites and mobile applications, ("Software") and certain third party online platforms as determined by us from time to time. By offering this Business Online and Mobile Banking Service and information, products or services via the website, we make no distribution or solicitation to any person to use the Digital Banking service or such information, products or services in jurisdictions where the provision of the Digital Banking service and such information, products or services is prohibited by law.
Certain additional defined terms used in this Agreement are set out below:
• “Account Agreement(s)” – means any agreement associated with your ORNL Federal Credit Union membership account and available products and Services such as the Universal Account Agreement (for consumer membership accounts), the Business Membership Agreement (for business accounts), or other applicable agreements, as amended from time to time, relating to an account, account products, account Services, or other relationships you have with us.
• “Account(s)” – means any one or more eligible checking, savings, money market savings, share certificates, loans, lines of credit, debit cards, credit cards, or other products and Services you have with ORNL Federal Credit Union that can be accessed through business Digital Banking. Some accounts may not be eligible for certain transactions or features using the Service.
• “Agreement” – means this Business Online and Mobile Banking Service Agreement and any amendments made in accordance with the provisions of this Agreement.
• “Applicable law” – means, as to any person or entity, a requirement imposed by any federal, state, local or other law, regulation, rule, ordinance, determination of an arbitrator, order of a court or determination, order, finding, advisory opinion, guideline or requirement of any other governmental authority, which is applicable to and binding upon such person or entity, including without limitation, the laws, regulations and orders administered by the Office of Foreign Assets Control (OFAC), and the Financial Crimes Enforcement Network (FinCEN).
• “Authorized Person” – means individuals duly authorized to act on behalf and transact any business on the entity's accounts with the Credit Union. Authorized Person(s) must be listed on ORNL Federal Credit Union’s Member Business or Organization Statement Resolution, Grant of Authority and Agreement “Resolution”.
• “BMA” – means Business Membership Agreement.
• "Business Day" - means a calendar day other than Saturday, Sunday and Federal Holidays.
• “Business Management” – means a service for business Users to set up, maintain and manage various aspects of their business banking experience. It serves as a hub for Authorizations, Payees, Roles, Users, and Reports.
• “Card” – means your ORNL FCU debit card or credit card.
• “Credit Union”, “we”, “us”, “our” “ORNL FCU” – or the affiliate of such entity that holds your accounts or provides you Services and any agent, independent contractor, designee, or assignee that we may, at our sole discretion, involve in the provision of the Digital Banking service.
• “External Account Aggregation” – means a service that allows you to access and collect the account information of your accounts at other financial institutions using the Link and View External Accounts feature within Digital Banking.
• “Dual Authorization” – means a process under which a User may request approval to complete the performance of certain operations or transactions through Digital Banking.
• "Individual" – means any person, business, entity, trust, trustee, personal representative, executor, or other person.
• “Master User” – means and shall refer to an Authorized Person as listed on the ORNL Federal Credit Union’s Member Business or Organization Statement Resolution, Grant of Authority and Agreement “Resolution”, who is also a documented entity owner, officer, partner, member, manager, director, or legal representative acting on behalf of the business.
• “Member to Member Transfer” or “Linked Account” – means a transfer between two unrelated ORNL FCU accounts. This transfer can be business to business, business to consumer, consumer to business, or consumer to consumer. The unrelated transfer account may also be referred to an internal linked account.
• “Non-ORNL FCU account(s)” – means your accounts at another financial institution.
• "Required Technology" means the computer and communications hardware, software, web internet access, communications services, or other technology necessary to access and use Digital Banking services in accordance with this Agreement.
• “Role(s)” – means a group of feature permissions, accounts, and transaction limits that are applied to Sub Users.
• “Single Authorization” – means a process under which a User does not have to have approval in order to complete the performance of certain operations or transactions through Digital Banking.
• “Software license agreement(s)” – means the software license agreements governing your use of the personal financial management software.
• "Sub User" – means and refers to any one or more individuals who are granted access to use Digital Banking services by the Master User or by other Sub Users with permissions to add additional Users.
• “Username” – means a string of characters that identifies a specific user (Master User or Sub User) and which, in conjunction with a password authenticates a user and allows access to Digital Banking.
• “User”, “Business User”, “Mobile User”, or “Business Online User” – means any individual user of the business Digital Banking services who has been granted access to accounts. The User may be a Master User or Sub User for the business entity and may or may not be an authorized signer on the business account.
• “Website” – means https://www.ornlfcu.com/ and any other Services related web pages of the Credit Union.
• “You” or “Yours” – means the business entity, those who request and use this Service, any business owners, any designated authorized account signer granted authority through the resolution or other business account documentation, any users of this Service (including without limitation any electronic or mobile User) to use the Digital Banking services on behalf of the business entity, and any authorized Sub Users granted authority and who may or may not be authorized to sign on behalf of the business entity.
Agreement
When you use or access or permit any other person(s) or entity to use or access the Business Online and Mobile Banking Service(s), or download or use any Software, each of you, jointly and severally, agree to the terms and conditions in this Agreement, and any amendments. Please access and review this Agreement regularly. If you find the Agreement unacceptable to you at any time, please discontinue your use of the Digital Banking service. Your use of the Service after we have made such changes available will be considered your agreement to the change. In addition to the terms herein, you acknowledge the receipt and incorporated herein of the terms of your Business Membership Agreement (“BMA”) with ORNL FCU, which shall also govern our relationship with you. To the extent that the terms of a specific provision of this Agreement vary from the terms set forth in the BMA, the specific terms and conditions of this Agreement will govern our relationship with you with regard to the Services specifically described herein.
ORNL FCU grants you authority to use the Digital Banking services with your ORNL Federal Credit Union business account(s) and you agree to abide by this Agreement, any separate Agreement related to the Digital Banking services, and the Business Membership Agreement. You also agree to abide by the provisions of any software license. By subscribing to Digital Banking or using the Digital Banking services, you agree to the terms of this Agreement, and any use of the Digital Banking services through valid authentication is subject to the terms of this Agreement. Except as otherwise required by law, rule, regulation, or specific provisions of this Agreement, we may change the terms of this Agreement from time to time without prior notice to you. When changes are made, we will update this Agreement within ORNL Federal Credit Union’s Business Online and Mobile Banking Service(s). The Service will be updated on or before the effective date unless an immediate change is necessary for security reasons or a change in a law, rule, or regulation requires the change. In that case, this Agreement will be updated as soon as possible after the change.
You agree that any required notice of a change to the terms of this Agreement may be posted to the Service (including without limitation in the form of a banner message), or by any other means permitted by applicable law (including without limitation by electronic message), at our option.
You agree to be bound by the terms of this Agreement and all future amendments as posted from time to time on the Service. This Agreement applies to business accounts only. Consumer accounts are subject to a separate Online and Mobile Banking Agreement. Business Accounts and Business Online and Mobile Banking Services are for commercial purposes only and no business Service or transaction shall otherwise be used for personal, family, and household purposes, whatsoever. You must immediately notify us if any account enrolled under this Agreement is used for personal, family, or household uses. If we ascertain a business account is used for purposes other than commercial we require the business account/Service to be closed and re-opened as a consumer account.
A sole proprietorship is a form of business entity and all accounts opened in furtherance of the purposes of a sole proprietorship shall be considered non-consumer non-personal accounts for purposes of this Agreement. You agree that we may obtain additional information as we deem reasonably necessary to ensure that you or any of your online users are not using the Digital Banking systems in violation of law, including, but not limited to, laws and regulations designed to prevent “money laundering” or the transfer of funds to or from persons or organizations whose accounts are blocked under regulations of the Office of Foreign Asset Control (OFAC) of the United States Treasury Department. We, or our licensors, own all rights, title, and interest in and to Digital Banking. No license or other right in or to Digital Banking is granted to you except for the rights specifically set forth in this Agreement.
You agree not to use Digital Banking for any other purpose, including commercial purposes, such as co-branding, framing linking, or reselling any portion of Digital Banking without our prior written consent.
Prohibited Uses
You agree not to use or attempt to use Digital Banking to:
(a) engage in any illegal purpose or activity or to violate any applicable law, rule, or regulations;
(b) breach any contract or agreement by which you are bound;
(c) engage in any internet or online gambling transaction, whether or not gambling is illegal in any applicable jurisdiction;
(d) engage in any activity or business that would result in you being or becoming a “money services business” as defined in the Bank Secrecy Act, and its implementing regulations; or
(e) engage in any transaction or activity that is not specifically authorized or permitted by this Agreement.
You acknowledge and agree that we reserve the right to decline to execute any transaction or activity that we believe violates the terms of this Agreement.
Electronic Agreement to The Service
By accepting the digital version of this Agreement, you, the Master User, and any duly authorized Sub User(s) acknowledge that all agreements entered into by electronic means will be deemed valid, authentic, and shall have the same legal effect as agreements entered into on paper. You further agree that you, the business online user(s) are able to electronically access and retain the electronic records and communications relating to this Agreement and the Service. By accepting the digital version of this Agreement or by your continued use of the Service after modifications are made hereto, you, the business online user(s), indicate your acceptance of the terms of this Agreement and you represent and warrant that you are authorized to do so on behalf of the business. If you do not agree, do not accept.
Electronic Signature
You agree and consent to the use of a keypad, mouse, or other devices to select an item, button, icon, or similar act/action while using any electronic Service we offer; or in accessing or making any transactions regarding any agreement, acknowledgment, consent, terms, disclosures or conditions, constitutes your signature, acceptance, and agreement as if actually signed by you, the duly authorized User(s), as described herein. Further, you agree that no certification authority or other third party verification is necessary to the validity of your electronic signature; and the lack of such certification or third party verification will not in any way affect the enforceability of your signature or the resulting contract between you and ORNL Federal Credit Union. E-signed Agreements executed by any User shall be deemed to be an original document.
Computer Equipment, Browser Access and Internet Services
To use the Digital Banking service, you will need an operating system and Internet connection capable of receiving, accessing, displaying, and either printing or storing Communications received from us in electronic form. You are responsible for obtaining, installing, maintaining, and operating all software, hardware, or other equipment (collectively, "Systems") necessary for you to access and use the Digital Banking service. You are responsible for obtaining an encrypted browser capable of a sufficiently high level of encryption to meet the system requirements we establish from time to time. You are additionally responsible for obtaining Internet and/or cellular network services via the service provider(s) of your choice, for any and all fees imposed by such provider and any associated communications service provider charges. We are not responsible for any Internet or mobile access service charges. We are not responsible for any errors or problems that arise from the malfunction or failure of the Internet or your Systems nor are we responsible for notifying you of any upgrades, fixes, or enhancements to, or for providing technical or other support for your Systems. You may not use the Digital Banking service in any manner to interfere with the operations of ORNL Federal Credit Union.
• For a secure system we recommend using an Internet browser with at least an encryption level of 128-bit;
• Sufficient free disk space on a hard drive to retain documents;
• A modem or other device allowing connection to the Internet;
• An Internet browser that can support the Service;
• An established email account and address and the ability to access attachments to email;
• An up-to-date version of Adobe® Acrobat® Reader or an Adobe Acrobat Reader browser plug-in. If you do not have this software, you can download a free up-to-date version at www.adobe.com and
• Modification of browser security for items such as “cookies” may be required.
You are solely responsible for the maintenance and operation of any computer or mobile device used by any business user to access the Service. ORNL Federal Credit Union shall not be responsible for any errors, deletions, or failures that occur as a result of any malfunction of your computer or mobile device, nor will we be responsible for any computer virus or malware that affects your computer or mobile device while using the Service.
Accessibility
ORNL Federal Credit Union’s Digital Banking services are enhanced and optimized, to the best of the provider’s ability, to conform with the informative guidance provided by WCAG 2.0 Level AA Success Criteria. ORNL FCU and our provider reserve the right to change the accessibility program as it deems appropriate, including for reasons based on regulations and industry trends.
Digital Banking Availability
Digital Banking is generally available 24 hours a day, 7 days a week. We may restrict or suspend availability periodically when we perform maintenance. When practicable and appropriate, we will schedule any maintenance for a time with less frequent use, and when practicable, we may provide notice by online message or other means that you’ve accepted. Access may also be interrupted, delayed, or slowed due to, among other things, hardware or software failures, telecommunications interruption, malicious actions, system capacity overload, power outages, or any other cause (whether similar or dissimilar to any of the foregoing) beyond our control. You agree that ORNL Federal Credit Union shall not be liable for any indirect, incidental, or consequential costs, expenses, or damages (including lost savings or profit, lost data, business interruption, or attorney's fees) attributable to the disruption of your Internet or cellular network access or your inability to access the Service, including due to Service downtime caused by any reason. Mobile Banking Mobile Banking may not be accessible through some network carriers. In addition, the Mobile Banking service may not be supported on all devices. ORNL Federal Credit Union cannot guarantee and is not responsible for the availability of data services provided by your mobile carrier, such as (but not limited to) data outages or "out of range" issues.
You agree to accept responsibility for learning how to use Mobile Banking and agree that you will contact us directly if you have any problems with Mobile Banking. You agree that, when you use Mobile Banking, you remain subject to the terms and conditions of your existing agreements with any unaffiliated service providers, including, but not limited to, your mobile service provider and that this Agreement does not amend or supersede any of those agreements. You understand that those agreements may include fees, limitations, and restrictions which might impact your use of Mobile Banking (such as data usage or text messaging charges imposed on you by your mobile service provider for uses of or interaction with Mobile Banking). You agree to be solely responsible for all such fees, limitations, and restrictions. You agree that only your mobile service provider is responsible for its products and services. Accordingly, you agree to resolve any problems with your provider directly without involving us. You represent that you are an authorized user of the mobile device you will use to access Mobile Banking. We make no representations that Mobile Banking will be available for use in locations outside of the United States. All products and Services that are accessible through Digital Banking may not be accessible or supported through a mobile device.
Login and Passwords
We may at our option change the requirements for the password used to access the Digital Banking service ("Password") without prior notice to you, and if we do so, you may be required to change your Password the next time you access Digital Banking. To prevent unauthorized access to your accounts and to prevent unauthorized use of the Digital Banking service, you agree to protect and keep confidential your Card number, account number, PIN, Employer Identification Number “EIN”, Tax Identification Number “TIN”, Username, Password, or other means of accessing your accounts via the Digital Banking service.
The loss, theft, or unauthorized use of your Card numbers, account numbers, EIN, TIN, PINs, User Names, and Passwords could cause you to lose some or all of the money in your accounts, plus any amount available under your overdraft protection credit line (if applicable), draws on your credit card account or other available lines of credit. It could also permit unauthorized persons to gain access to your sensitive account and personal information and to use that information for fraudulent purposes, including identity theft. If you disclose your Card numbers, account numbers, EIN, TIN, PINs, User Names, and/or Passwords to any person(s) or entity, you assume all risks and losses associated with such disclosure.
If you permit any other person(s), users, or entity, including any data aggregation service providers, to use the Digital Banking service (through any access point) or to access or use your Card numbers, account numbers, PINs, EIN, TIN, User Names, Passwords, or other means to access your accounts, you are responsible for any transactions and activities performed from your accounts and for any use of your personal and account information by such person(s) or entity. If you permit other persons to use your mobile device, login information, or any other means to access Digital Banking, you will be held responsible for any transactions they authorize, and we will not be liable for any damages resulting to you.
If you believe someone may attempt to use or has used the Digital Banking service without your permission, or that any other unauthorized use or security breach has occurred, you agree to immediately notify us at 1.800.676.5328. ORNL Federal Credit Union will not call you or email you requesting your log-in credentials or passwords. If you receive such a message, please contact ORNL Federal Credit Union at 1.800.676.5328 using a separate communication channel. If at any time the Digital Banking password is obtained by an unauthorized person you must log in and change your Digital Banking password immediately and contact the Credit Union. Security When using Digital Banking you understand that the transactions are being completed via the Internet.
ORNL Federal Credit Union offers several layers of technology, including Multifactor Authentication, to ensure that transactions made by Digital Banking remain confidential. It is essential that security does begin with the browser or software being used on your own computer or device. It is highly recommended that you use the latest version of your browser or device’s software. In order to help protect your account information from unauthorized access, you should always log out of the system when each session is complete. Logging out will help prevent unauthorized persons from using the Digital Banking service and viewing your account(s).
Biometric Login
Mobile Banking supports authentication using Face recognition ID or Fingerprint ID to login, depending on your device’s capability. Once authenticated, you can choose to log into the Mobile App using Face ID or Fingerprint ID in lieu of entering your Username and Password. If your mobile device offers this functionality, you may enable it directly through your mobile device settings.
NOTE: Please remember once you enable biometric authentication for Mobile Banking, anyone with facial recognition or a fingerprint stored on your device will have access to your account. You can turn off this feature in your mobile device settings at any time. Multi-Factor Authentication Digital Banking utilizes Multifactor Authentication for enhanced security.
At any point during registration, logon, in completing transactions, making changes to your profile, or throughout the use of the Service, ORNL Federal Credit Union will require a secondary verification in addition to the standard Username and Password requirement. Secondary verification may involve a text message, automated phone call, or email notice. It is your responsibility to ensure that your contact information is complete and current. If you elect to complete a secondary authorization selection using any of the delivery methods available, you consent to receive either an automated prerecorded call delivered to you using an autodialer, an email to the email address on file, or a text message to the number on file.
You may be subject to any fees associated with these delivery methods. For more information about Multi-factor Authentication, you may visit ffiec.gov.
Online Access
When you register for Digital Banking, you will be prompted to set up your Username and Password and provide any other authentication information we deem necessary. This may include sending you a one-time code via email or text message that you will be required to enter as part of the authentication process. Your Password for Digital Banking has no effect on your PIN used for other access devices such as an ATM or Debit card or Telephone access. You may change your Username or Password any time after registration. Once registered, you can enable biometric authentication through your mobile device settings for future log-on.
Master User
A Master User shall mean and refer to the individual designated to be responsible for administering the use of the Digital Banking services for the business entity. Once authenticated and registered, the Master User may have access to add additional users through the Digital Banking platform. The Master User must be designated as an Authorized Person on ORNL Federal Credit Union’s Member Business or Organization Statement Resolution, Grant of Authority and Agreement “Resolution”. In addition to being an Authorized Person, the Master User must also be a documented entity owner, officer, partner, member, manager, director, or legal representative acting on behalf of the business.
While there can be multiple Authorized Persons listed on a business entity’s Resolution, the first individual to register or set up the business’s Digital Banking in ORNL Federal Credit Union’s Digital Banking platform will become the Master User. There is only one Master User per business account. It is the entity’s responsibility to ensure business account documents, as well as Digital Banking Access for the Master User and all Sub Users, are kept current and adhere to all Agreements.
Sub User
The Sub User shall mean and refer to any one or more individuals who are granted access to use Digital Banking services by the Master User or other Sub Users with permissions to add additional Users. There may be more than one or more Sub User(s) granted access. A Sub User may or may not be an authorized signer on the account. A Sub User that is not an authorized signer on the business account will only have account access online and account permissions as assigned by the Master User.
The Credit Union will not be liable to the Business Member or any business entity or individual for any loss, damage, or expense arising from permissible access given to any User by a Master User or Sub User, even if that User is not an authorized signer or authorized person, to view, transact, control, or authorize any account or Service offered through Digital Banking. The Member hereby agrees to indemnify and keep ORNL Federal Credit Union harmless against all actions, claims, or demands arising from actions of any User.
Business Shared Access
Once authenticated and registered, the Master User will have access to a business management console through Digital Banking services. The business management console will allow the Master User to assign access and limits to any designated Sub User(s) and to select specific share accounts and functions that each Sub User will be authorized to perform. Each designated Sub User authorized by the Master User will be prompted to establish his or her own log-in credentials. Sub Users will only be able to see the accounts and perform the functions authorized by the Master User.
The Master User shall be responsible for:
(1) Determining whether additional Sub Users should be granted access to which accounts and functions;
(2) Setting up the authorizations in the Business Management console;
(3) Assigning and, when necessary or appropriate,
resetting User Names and Passwords for a Sub User; Sub User(s) will be prompted to reset their password after their first log-in;
(4) Supervising Sub User access to the Digital Banking services;
(5) Serving as the main
contact for receipt of information relating to their account and their Sub Users’ use of Digital Banking services;
(6) As the Master User, you understand and agree that if a Sub User is granted access to manage users
by you then that Sub User may also grant other Sub Users access to all the Digital Banking services;
(7) The Master User agrees that all actions of the Sub User(s) with respect to Digital Banking services and accessing
your accounts shall be deemed authorized by you;
(8) The Master User understands that if assistance from ORNL Federal Credit Union is required for a Service initiated by a designated additional User who is not otherwise
authorized on the account (i.e., business owner, authorized signer), the Master User will need to contact ORNL Federal Credit Union directly for assistance; and
(9) The Master User can modify or remove access from a Sub
User at any time.
You agree to regularly obtain and review the audit trail of confirmed actions taken by all Users and to regularly review all Account transactions that have been requested using the Services. Such regular reviews must occur at least once every two (2) calendar days. You must notify us immediately if you (including any Sub Users) know of or suspect any unauthorized access to Digital Banking, the Website, or any unauthorized transaction or Instruction. You also agree to cooperate with us in connection with our review or investigation of any claim of an unauthorized or erroneous funds transfer initiated using Digital Banking, and you agree that we may review your records in connection with any such review or investigation, and in connection with any security-related audit or review of your compliance with the requirements of this Agreement.
Authorization of Transactions
You may implement a Single Authorization or a Dual Authorization for the authorization of transactions involving the movement of money. We recommend the use of Dual Authorization as added protection against possible fraud. Dual Authorization can be created when setting up Roles for Sub Users and may be controlled by setting dollar limits within the Sub User’s Role.
A Master User may allow another Sub User to have an authorization approval limit separate from their own transaction limits. Dual Authorization does not apply to the number of signatures required on checks, drafts, or negotiable orders of withdrawal written against your checking account(s) (regardless of whether your checking account(s) are enrolled in any Service). There is a greater risk with using Single Authorization as it allows any individual User that is signed into Digital Banking to authorize a transaction within their established limits without any review process. In addition, Single Authorization has a greater risk to you in the event of a hostile electronic takeover.
Establishing a practice of creating Roles and Users with dual authorization, even creating a secondary User for the individual with Master User rights, will mitigate the risk of the potential loss. Dual Authorization may not be available for use with all Services within the Digital Banking service. Notwithstanding the foregoing, the Credit Union reserves the right, in the Credit Union’s discretion, to require Dual Authorization as a condition for using any of the Business Online and Mobile Banking Service(s).
Card Management
You, the Master User, and all Sub User(s) acknowledge and agree to comply with the terms of the “Terms and Conditions of Your Debit Card Services with The Credit Union” located within the Business Account Membership Agreement given at account opening. To the extent that the terms of a specific provision of this Agreement vary from the terms set forth in the BMA, the specific terms and conditions of this Agreement will govern our relationship with you with regard to the Services specifically described herein. ORNL Federal Credit Union does not offer credit cards for business use.
Stop Payment
You may place a stop payment on a withdrawal order or on any check, except for cashiers' checks, official checks or other cash equivalent items through Digital Banking. You, the Master User, and all Sub User(s) acknowledge and agree to comply with the terms described under the section of “Stop Payment” located within the Business Account Membership Agreement given at account opening. To the extent that the terms of a specific provision of this Agreement vary from the terms set forth in the BMA, the specific terms and conditions of this Agreement will govern our relationship with you with regard to the Services specifically described herein.
We will accept stop payment orders through Digital Banking issued by any Master User or Sub User with authorized permissions for stop payments on your Account, regardless of who initiated the check or other withdrawal order, even if more than one signature is required on a check or withdrawal order, and even if the user is not an authorized signer on the account.
Fees for stop payment orders will be imposed and are set forth on the Rates and Fee Schedule.
Messaging Service
You agree that by using the Digital Banking service, notifications or other communications may be sent to any email we have on file for you. You agree that you have and will have access at all times to a valid email address, for as long as you have any Account enrolled in Digital Banking. It is your sole responsibility to revise your email within Digital Banking or advise us immediately of any changes or updates required to your designated email address. Any and all notices we send to the email address we have on file for your participation in Digital Banking shall be deemed to have been delivered to you personally, whether actually received or not.
Consent to Contact
By enrolling in and using the Digital Banking service, you authorize ORNL Federal Credit Union, its agents, Service providers, and other designees or assignees to contact you using the contact information you have provided. You expressly consent to receive autodialed or prerecorded calls, automated emails, and autodialed or automated text messages related to the Digital Banking service to the phone number(s) and email address(es) you provide. You certify the contact information is accurate and that you are authorized to be contacted at such phone number(s) and email address(es). You agree to notify us immediately when your contact information changes or utilize the features in the Digital Banking service to update your contact information.
Mobile Services
Your enrollment in the Digital Banking service may include access to some products and Services through a mobile application or otherwise using a mobile device or tablet device including via the ORNL Federal Credit Union app ("Mobile Banking"). By using Mobile Banking, you agree to the following terms. You agree that we may send you information relative to Mobile Banking through your communication service provider to deliver them to you and that your communication service provider is acting as your agent in this capacity. You agree to provide a valid phone number or email address so that we may send you certain information about your applicable account or otherwise related to the Mobile Services.
You understand and agree these Services may not be encrypted and may include personal or confidential information about you such as your account activity or status. Delivery and receipt of information, including instructions for payment, transfer and other money movement transactions, through the Mobile Banking may be delayed or impacted by factor(s) pertaining to your Internet service provider(s), phone carriers, other parties, or because of other reasons outside of our control. We will not be liable for losses or damages arising from any disclosure of account information to third parties, non-delivery, delayed delivery, misdirected delivery or mishandling of, or inaccurate content in, information and instructions sent through the Mobile Services.
We reserve the right to determine your eligibility for any product, Service, or functionality. Additionally, you agree that neither we nor our service providers will be liable for any errors or delays in the content, or for any actions taken in reliance thereon. You are responsible for all charges, including, but not limited to, fees associated with text messaging imposed by your communications service provider. We are not responsible for any damages resulting from your failure to comply with any terms and conditions provided by your communication service provider or any app store. You understand and agree some Mobile Banking platforms require utilizing location services on your device.
Alerts and Mobile Text Services
Your enrollment in Digital Banking includes access to mobile text messaging-related Services (collectively, "Text Messages") and Alerts. The Alerts and Text Messages are provided for your convenience and do not replace your monthly account statement(s), which are the official record of your accounts. You understand and agree these Services may not be encrypted and may include personal or confidential information about you such as your account activity or the status of your account. The Alerts and Text Messages are only available to members who have an eligible account with us, and you may be automatically enrolled to receive certain Alerts. There is no service fee for the Alerts and Text Messages, but you are responsible for all charges, including, but not limited to, fees associated with text messaging imposed by your communications service provider.
Security notifications are provided for your protection when certain changes are made such as password and Username updates, changes to your contact information, or the addition of a new Sub User. Information for both security notifications and optional notifications will be delivered to you based on your choice to receive either text (SMS) messages, Mobile App push, or email messages for notifications.
To receive notifications via text message, your mobile device must be subscribed to a wireless service, and you must be able to receive text messages using your mobile device and your carrier’s service. By enrolling in Digital Banking, you consent to receive automated text messages to the phone number on file. You certify the phone number provided is owned by you or you are a customary user of the phone number and you agree to update your phone number immediately if your phone number changes.
Limitation on Services
Your Commercial Loan or Line (each a “Business Loan”) will be viewable within Digital Banking. You may view certain summary and transaction information regarding the Commercial Loan or Line(s) under your account information. Payments to your loan or line may be authorized as a one-time payment or recurring payment, or you may schedule future payments to your Commercial Loan account(s) from an eligible deposit Account using Digital Banking services. Some Commercial Loan types may be “view only”, such as Letters of Credit, and will not accept payments online.
Commercial Loan or Line of Credit advances are not available for transfers and cannot be requested through Digital Banking; all loan advance requests must be made by contacting the Commercial Lending Department. All payments and transfers to an eligible Commercial Loan or Line at the Credit Union are subject to the terms of the applicable agreements governing the Commercial Loan or Line. You acknowledge and agree that granting additional User access, controlling User’s permissions, and setting User’s transaction limitations can only be controlled by you, the Master User, and any Sub User with such granted authority, not the Credit Union.
The Credit Union will not be liable to you or any third party for any loss, damage, or expense arising from access to an Account by any User under the terms contained in the Business Online and Mobile Banking Service Agreement. You agree to indemnify and keep the Credit Union harmless against all actions, claims or demands arising from or relating to any action of a User under the terms of this Agreement. Your obligations shall survive termination of this Agreement and termination of your participation in Digital Banking (or any applicable Service).
Bill Payment Service is available for use by business Digital Banking participants with the exclusion of features “Pay a Person” and “Send Money”, which are not for business use. You, the Master User, and each Sub User acknowledge and agree to the “Terms and Conditions of the Bill Payment Service” to the extent that the terms of a specific provision of this Agreement vary from the terms set forth in the “Terms and Conditions of the Bill Payment Service”, the specific terms and conditions of this Agreement will govern our relationship with you with regard to the Services specifically described herein.
New Features
We may, from time to time, introduce new features to the Digital Banking service or modify and/or delete existing features in our sole discretion. By using any new or modified features when they become available, you agree to be bound by the rules concerning these features.
Digital Banking Fees
General access to the Digital Banking service is currently provided to you at no additional cost. However, you may incur fees if you use or obtain some of the products or Services available through the Digital Banking. To learn more about such fees, please refer to the specific terms and conditions applicable to each product or Service or our fee schedule. We reserve the right from time to time to add or modify fees and will notify you when we do so.
If you use personal financial management software to access your accounts (such as Quicken® or QuickBooks®, etc.), a fee may be charged by the management software for the use of those services and additional service terms and conditions may apply.
Account Information
Account information provided to you as part of the Digital Banking service is not the official record of your account or its activity. Your account statement, furnished to you by us in a paper format, or electronically if you are enrolled in the paperless statements service, will remain the official record. The Digital Banking service information is generally updated regularly but is subject to adjustment and correction and therefore should not be relied upon by you for taking, or forbearing to take, any action.
Electronic Statement Delivery
Digital Banking allows the Master User and any Sub User with authorized “e-documents” privileges to view, download, and print Portable Document Format (PDF) copies of the Account statements made available by the Credit Union. We may send you any notification (by Email or otherwise) after we make a new monthly Account statement available for viewing, downloading, and printing through Electronic Statement Delivery. You agree to maintain access to Digital Banking in a manner that gives you continuous ability to access, review and download or print your electronic Account statements. Provisions in this Agreement concerning the Electronic Statement Delivery supersede any conflicting provisions in any prior Electronic Statement Delivery Enrollment Agreement that may have been entered into between you and the Credit Union concerning any Account enrolled now or in the future in Digital Banking. Transaction Limitations and the Credit Union's Business Days. Except as may be otherwise specifically provided in our Agreements, all transactions after our "daily cut-off time" and made on days that are not our business days as set forth in the Business Membership Agreement will be treated, transmitted, recorded, etc., as applicable and appropriate as if received on the next business day that we are open. Deposits, orders, instructions, requests, etc., sent by mail, electronically, left at an unstaffed facility, or left at Credit Union's outside depository will be processed and credited only when actually received by us, and we shall have no responsibility until we actually receive the item. The "daily cut-off time" may be changed by the Credit Union at any time without prior notice to you. Cut-Off Times The “daily cut-off times” for same-day processing may vary depending on the Service. Specific information on the cut-off times may be available on or through the agreements as set forth within the applicable Service and is subject to change at any time. Our Right to Review Funds Processing As a sender of instructions to transfer or collect funds using the Digital Banking service, you acknowledge and agree that we may delay or cancel the execution of your online instructions and/or chargeback the amount of any credit to the applicable account as we determine in our discretion or claim recourse from you for such amount for various reasons including fraud, duplicate payment, incorrect amount or incorrect recipient. Payments and Transfers Refer to our Business Membership Agreement for the Uniform Commercial Code Funds Transfers Agreement and Disclosure External Transfers External account transfers is prohibited for use on business accounts through Digital Banking. Business members may not transfer funds to any external account through the Transfers Widget. ORNL Federal Credit Union’s retail ACH transfer Service is only available for consumer accounts. You acknowledge and agree to abide by the ACH Transfer Policy and refrain from using these with any business account. Internal Transfers With respect to internal transfers between ORNL Federal Credit Union accounts (“Internal Funds Transfer Services”), expressly excluding the following transfer types, which are governed under separate addendums or agreements: Wire Transfers, Bill Payment Transfers, and Person to Person Transfers, the following shall apply. Internal Transfers – Same Ownership You may transfer funds between ORNL Federal Credit Union accounts and loans in which you have ownership. You may initiate a one-time transfer or schedule a transfer or series of transfers in advance. There is currently no transfer amount limit or count. Transfers are generally processed immediately or on the day you scheduled the transfer to take place. Transfers scheduled in advance may be canceled or edited prior to the transfer date. Member to Member Transfers You may transfer funds from your ORNL Federal Credit Union account to another unrelated Member’s checking, savings, or loan account at ORNL Federal Credit Union. Transfer account information for another Member’s accounts can be used for a one-time transfer or can be saved and selected for future transfers. The saved transfer account may be referred to as a “linked account”. To protect the privacy and security of our members, you should obtain permission and verify proper information with the other Member. A notification confirming the transfer instructions will be sent to both you and the Member receiving the funds by email (to the extent there is an email address associated with the account). The transaction on the periodic statement for both the sender and receiver will show the amount of the transfer along with a truncated account number for both the credit (“TO” account) and the debit (“FROM” account). You understand that you may only transfer funds into the account you establish and cannot request funds from the account(s), nor will you have access to any information regarding the other Member’s account, other than name and account number. You agree and accept responsibility for obtaining permission from the owner of the account prior to sending funds to their account using this Service. External Account Aggregation The External Account Aggregation service allows you to access and collect the account information of your accounts at other financial institutions using the Link and View External Accounts feature within the Digital Banking service. The External Account Aggregation service is offered through our third party service provider, who acts on behalf of the Credit Union. As a condition to your business account use of the Service, you make the following representations and warranties: External Account Ownership and Authority You represent and warrant that you: (a) have legal ownership of all accounts and assets that you designate for aggregation by the Service, (b) have full power, right, and authority to authorize and permit ORNL FCU to receive the external account data and to grant the licenses to that data provided for herein, or has obtained all such required authorizations and permissions, (c) are not subject to any legal or regulatory limitations that would limit or restrict the Service's ability to request and receive aggregated data, and (d) have all such rights in, and licenses to, the information contained in the aggregated data as may be required in order to permit you to grant to ORNL FCU the licenses granted hereunder, or have obtained such rights and licenses as are necessary for purposes of this Agreement. You acknowledge and understand that by adding an external aggregated account, of any kind (business, personal, asset, or liability), some or all Users, including the current or future Users, may have access to the external aggregated account data therein. You acknowledge that access to aggregated accounts within Digital Banking will remain available to Users until it is deleted. We recommend only aggregating business accounts with common ownership. We discourage any business Users from aggregating personal accounts with their business account due to an increased risk of liability. We may prohibit you from aggregating accounts that belong to another person or entity within your Digital Banking profile. Authorization to Access Third Party Accounts You understand and agree that, in order to provide the Service, it is necessary for us to access third party websites and databases containing information regarding your accounts and financial relationships as designated by you ("Third Party Accounts"), on your behalf, to retrieve information as requested or authorized by you. By using the Service, you agree to authorize us to access such Third Party Accounts to retrieve such information as requested or authorized by you, or for any other purpose authorized by this Agreement. You represent to us that you have the right to authorize and permit us access to your Third Party Accounts and information. You hereby expressly authorize and permit us to use information submitted by you including account passwords and user names to access your Third Party Accounts to provide the Service. You understand and agree that at all times your relationship with each Third Party Account provider is independent of the Credit Union and your use of the Service. You acknowledge and agree that when we access and retrieve information from the third party accounts, we and our service provider are acting as your agent, and not as the agent of or on behalf of the third party. We will not be responsible for any acts or omissions by the financial institution or other provider of any Third Party Account, including without limitation any modification, interruption or discontinuance of any Third Party Account by such provider. You agree that the Credit Union shall not be liable for any costs, fees, losses or damages of any kind incurred as a result of (a) access to the third party accounts by us or our service provider; (b) our retrieval of or inability to retrieve information from the third party accounts; (c) any inaccuracy, incompleteness or misinformation contained in content retrieved from the third party accounts and (d) any charges imposed by the provider of any third party account. You further agree, the Credit Union will not be liable to the Business Member or any business entity or individual for any loss, damage, or expense arising from permissible access given to any User, at any time, by a Master User or Sub User, even if that User is not an authorized signer or authorized person, to view, control, authorize, or aggregate any Third Party Account through Digital Banking. The Member hereby agrees to indemnify and keep ORNL Federal Credit Union harmless against all actions, claims, or demands arising from actions of any User pertaining to the External Account Aggregation service or Third Party Accounts. You agree you will not use the Service for any purpose that is unlawful or is not permitted, expressly or implicitly, by the terms of this Agreement or by any applicable law or regulation. You further agree you will not use the Service in any manner that could damage, disable, overburden, or impair account aggregation or interfere with any other party's use and enjoyment of account aggregation. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through account aggregation. You agree that these warranties and representations will remain in full force and effect even if this Agreement terminates for any reason. You understand and agree that the Service is provided "as-is." We assume no responsibility for the timeliness, deletion, misdelivery or failure to store any user communications or personalization settings. You understand and expressly agree that use of the Service is at your sole risk, that any material and/or data downloaded or otherwise obtained through the use of the service is at your own discretion and risk and that you will be solely responsible for any damages, including without limitation damage to your computer system or loss of data that results from the download of such material and/or data. Discontinuing Service and Deletion of Third Party Accounts You agree and understand that you must delete your aggregated Third Party Accounts in Digital Banking if you wish to discontinue using the External Account Aggregation feature. You further acknowledge it is the responsibility of the Master User to immediately delete any aggregated Third Party Account that no longer meets the obligations of this Agreement. We reserve the right to discontinue the Service at any time if you fail to follow the terms of this Agreement. Updating Your Records You agree to provide us with a true, accurate, and complete email address and other contact information related to Digital Banking services and your ORNL Federal Credit Union accounts. You must promptly notify us of any change in your email or other electronic address. You may change the email address on record for you by using Digital Banking, by visiting a branch or by contacting us at 1.800.676.5328. You May Withdraw Your Consent You have the right to withdraw your consent at any time. Please be aware, however, that withdrawal of consent may result in the termination of the Digital Banking service, including Mobile Services. Your withdrawal of consent will become effective after we have had a reasonable opportunity to act upon it. To withdraw your consent, contact us toll-free at 1.800.676.5328 or contact us by mail at the address listed at ornlfcu.com. Risk of Loss In the event of a system failure or interruption, your data may be lost or destroyed. Any transaction(s) that you initiated, were in the process of completing or completed shortly before a system failure or interruption should be verified by you through means other than online to ensure the accuracy and completeness of such transaction(s). You assume the risk of loss of your data during any system failure or interruption and the responsibility to verify the accuracy and completeness of any transaction(s) so affected. Limitation of Liability; No Warranties EXCEPT AS SPECIFICALLY SET FORTH HEREIN OR WHERE THE LAW REQUIRES A DIFFERENT STANDARD, WE SHALL NOT BE RESPONSIBLE FOR ANY LOSS, DAMAGE OR INJURY OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM OR RELATED TO THE SYSTEM, EQUIPMENT, BROWSER APPLICATION AND/OR THE INSTALLATION OR MAINTENANCE THEREOF, ACCESS TO OR USE OF THE DIGITAL BANKING SERVICE, AND/OR THE INSTALLATION OR MAINTENANCE THEREOF, ACCESS TO OR USE OF THE DIGITAL BANKING SERVICE, FAILURE OF ELECTRONIC OR MECHANICAL EQUIPMENT, THE INTERNET, THE SYSTEM, OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS, BUGS, ERRORS, CONFIGURATION PROBLEMS OR INCOMPATIBILITY OF COMPUTER HARDWARE, SOFTWARE, THE INTERNET, OR THE SYSTEM, FAILURE OR UNAVAILABILITY OF INTERNET ACCESS, PROBLEMS WITH INTERNET SERVICE PROVIDERS, PROBLEMS OR DELAYS WITH INTERMEDIATE COMPUTER OR COMMUNICATIONS NETWORKS OR FACILITIES, PROBLEMS WITH DATA TRANSMISSION FACILITIES OR ANY OTHER PROBLEMS YOU EXPERIENCE DUE TO CAUSES BEYOND OUR CONTROL. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN ANY APPLICABLE AGREEMENT, YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE DIGITAL BANKING SERVICE IS AT YOUR SOLE RISK AND THAT THE DIGITAL BANKING SERVICE AND ALL INFORMATION, SOFTWARE, PRODUCTS AND OTHER CONTENT (INCLUDING THIRD PARTY INFORMATION, PRODUCTS AND CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE SITES, ARE PROVIDED ON AN "AS IS" "WHERE-IS" AND "WHERE AVAILABLE" BASIS, AND ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT NOTICE TO YOU. YOU ACKNOWLEDGE THAT WE MAKE NO WARRANTY THAT THE DIGITAL BANKING SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE UNLESS OTHERWISE STATED ON THE SITE OR IN ANY APPLICABLE AGREEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS TO THE DIGITAL BANKING SERVICE AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THIRD PARTY INFORMATION, PRODUCTS AND CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE SITES. NO LICENSE TO YOU IS IMPLIED IN THESE DISCLAIMERS. Other Agreements In addition to this Agreement, you agree to be bound by and comply with such other written agreements as we may furnish to you in connection with either this Service or products which may be accessed via this Service, including, but not limited to, all Business Membership Agreements, and with all applicable State and Federal laws and regulations. To the extent there is a conflict between the terms of this Agreement and your applicable Business Membership Agreement with us, the terms and conditions of your Account Agreement will control except as may be otherwise stated herein. Termination; Availability; No Assignment We may assign our rights under this Agreement without notice to a third party now or in the future. You agree that we may also assign or delegate certain of our rights and responsibilities under this Agreement without notice to independent third parties. You agree that you may not assign any of your rights or responsibilities under this Agreement to any third party without obtaining our prior written consent (which may be withheld at our sole discretion). Unless otherwise required by applicable law, we may terminate or suspend this Agreement and/or suspend, or limit your access to any or all of the Services as to any or all of your Accounts and as to any or all of your enrolled Loan accounts, in whole or in part, at any time without advance notice. Upon termination, you shall immediately discontinue the use of the Digital Banking service. Access to Digital Banking may be reinstated by us, at our sole discretion, at any time. If reinstated, the then-current terms of this Agreement will apply. You may request reinstatement of Services by calling us at 1.800.676.5328 on Business Days between 9:00 a.m. ET and 5:00 p.m. ET. We reserve the right to determine your eligibility for any product or Service. Termination of your participation in Digital Banking (or any applicable Service) will not affect any other agreement affecting your Accounts or Loans with us, or any of your or our rights or obligations under this Agreement as of the effective date of termination, and also will not affect any Digital Banking Instruction that both (a) has been submitted to and received by us for processing, and (b) is in process as of the effective date of termination. Termination of the Electronic Statement Delivery by you or by us does not affect the validity or legal effect of any electronic Account statement previously made available to you through Digital Banking. Termination of any one Service by you or by us will not terminate the other Services for which you are enrolled unless you or we specifically indicate otherwise. Disputes In the event of a dispute arising under or relating in any way to this Agreement or to the Digital Banking service provided under this Agreement, you and we agree to resolve this dispute by looking to the terms of this Agreement. Indemnity You acknowledge and agree that you are personally responsible for your conduct while using the Digital Banking service and agree to indemnify and hold us and our officers, directors, employees, and agents harmless from and against any loss, damage, liability, cost, or expense of any kind (including, but not limited to, reasonable attorneys' fees) that we may incur in connection with a third party claim or otherwise, in relation to your use of the Digital Banking service or the use of the Service by anyone using your Card number, account number, PIN, User Name or Password, provision of a phone number or email address that is not your own, or your violation of this Agreement or the rights of any third party (including, but not limited to, privacy rights) arising from your provision of a phone number or email address that is not your own. Your indemnity obligation and your representations and warranties in this Agreement shall survive termination of this Agreement and termination of your participation in ORNL Federal Credit Union’s Business Online and Mobile Banking Service (or any applicable Service). Governance This agreement shall be governed by and interpreted under the laws of the state of Tennessee and applicable federal laws and regulations. Venue and jurisdiction pertaining to any lawsuit initiated hereunder shall be in the Chancery Court for Anderson County Tennessee. By using the Digital Banking services, you expressly consent to venue and jurisdiction in the Chancery Court of Anderson County, Tennessee.
